Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the Nexus website and the authenticated customer dashboard reachable from it (together, the “Service”), operated by Nexus Trading & Packaging Ltd (“Nexus”, “we”, “us”). By creating an account or otherwise using the Service, you agree to these Terms. If you’re agreeing on behalf of a company, you confirm you have authority to bind that company.

The Service lets you learn about Nexus’s packaging, manufacturing, materials trading, and design business lines; submit quotation requests; track the status of an order from submission through to fulfillment; message our team, including to share design concepts and reference files; and manage reorder reminders. We may add, change, or remove features from the Service at any time.

• The Service is intended for business use, by individuals of legal working age acting on their own behalf or on behalf of a company.
• You’re responsible for the accuracy of the information you provide and for keeping it up to date.
• You’re responsible for safeguarding your account credentials and for all activity that happens under your account.
• Notify us promptly if you suspect unauthorized use of your account.

Submitting a quotation request through the Service is a request for pricing, not a purchase or a binding order. Pricing and material availability we quote are estimates based on the information you provide and our capacity and material costs at the time, and may change before an order is confirmed.

An order is only binding once you’ve reviewed and confirmed a quote with us. The specific commercial terms of a confirmed order — pricing, quantities, delivery schedule, and payment terms — are agreed separately for that order and, where they conflict with these Terms on a commercial point, control for that order.

You retain ownership of any brief, sketch, reference file, or other material you submit through the Service (“Your Content”). By submitting Your Content, you grant us a license to use, reproduce, and adapt it solely to review, quote, design, and fulfill your request.

You’re responsible for Your Content and confirm you have the necessary rights to share it with us — including that it doesn’t infringe anyone else’s intellectual property or other rights.

When using the Service, you agree not to:

• Use it for any unlawful purpose, or in violation of any applicable law or regulation.
• Attempt to gain unauthorized access to the Service, other accounts, or our systems.
• Interfere with or disrupt the integrity or performance of the Service.
• Upload or transmit malicious code, or content that infringes another party’s rights.
• Scrape, harvest, or otherwise systematically extract data from the Service without our permission.

The Service itself — including its design, text, graphics, and the Nexus name and logo — is owned by Nexus or its licensors and protected by intellectual property law. Except for what these Terms expressly allow, nothing in these Terms grants you any right to use our trademarks, branding, or site content.

The Service relies on third-party providers for authentication, hosting, file storage, and messaging delivery (see our Privacy Policy for the current list). We’re not responsible for outages or issues originating from those providers, though we’ll work to resolve them where we can.

The Service is provided “as is” and “as available.” We don’t guarantee it will be uninterrupted, error-free, or available at all times. To the fullest extent permitted by law, we disclaim all warranties, express or implied, regarding the Service.

To the fullest extent permitted by law, Nexus won’t be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenue, arising from your use of the Service. Nothing in these Terms limits liability that can’t be limited under applicable law. The specific liability terms for a confirmed order are set out in that order’s own commercial terms.

You may stop using the Service and request account deletion at any time by contacting us. We may suspend or terminate your access to the Service if you materially breach these Terms, or as needed to protect the Service, our other customers, or ourselves.

These Terms are governed by the laws of [jurisdiction to be confirmed], without regard to its conflict of law principles. Any dispute arising from these Terms or the Service will be subject to the courts of that jurisdiction, unless otherwise required by applicable law.

We may update these Terms from time to time. If we make material changes, we’ll update the “Last updated” date above and, where appropriate, notify you through the Service. Continuing to use the Service after changes take effect means you accept the updated Terms.
